Terms of Service

The terms that govern your use of TRIALNAV OASIS™ and related services.

1. Agreement to terms

By accessing or using the TRIALNAV OASIS™ platform ("Service"), operated by TRIALNAV, LLC ("TRIALNAV," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of service

TRIALNAV OASIS™ is an operational intelligence platform for clinical research sites, providing trial complexity scoring, staffing forecasting, financial modeling, and related analytics. The Service processes operational metadata and does not require or knowingly ingest patient-level protected health information (PHI).

3. Accounts and access

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate information when registering for or using the Service.
  • Access is granted per your organization's subscription tier and permitted user count.

4. Acceptable use

You agree not to misuse the Service, including but not limited to: attempting unauthorized access to other organizations' data, reverse-engineering the platform, or using the Service in a manner that violates applicable healthcare or data protection regulations.

5. Data ownership

You retain ownership of the operational data you submit to the Service. TRIALNAV retains ownership of the platform, its underlying algorithms, and any aggregated or de-identified analytics derived from platform usage across customers.

6. Intellectual property

The TRIALNAV OASIS™ platform, including its staffing acuity methodology, is protected by intellectual property law and, where noted, patent-pending status. Nothing in these terms grants you rights to TRIALNAV's underlying technology beyond your right to use the Service.

7. Service availability

We aim to maintain high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible.

8. Limitation of liability

The Service is provided "as is." TRIALNAV is not liable for indirect, incidental, or consequential damages arising from use of the Service, to the maximum extent permitted by law.

9. Termination

Either party may terminate a subscription in accordance with the terms of the applicable order form or master services agreement. Upon termination, access to the Service will be discontinued and data export options will be made available for a limited period.

10. Changes to these terms

We may update these terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.
